BOARD OF DIRECTORS
We are managed by a board of directors, which is currently composed of nine directors and six alternate directors. The shareholders present at our shareholders’ meetings may determine the number of directors, which shall be no less than five and no more than eleven in case of regular directors and no more than six in case of alternate directors. Each director is elected by a majority of the relevant shareholders present at the shareholders’ meetings for a two-year term and can be reelected to successive terms.
The term of each of the members of our board of directors will expire on the date of our annual shareholders meeting approving our financial statements for the most recent fiscal year.
Eduardo Hugo Antranik Eurnekian
Mr. Hugo Eurnekian joined Corporación América group more than 10 years ago and has worked in building its Energy division. He first participated in evaluating, acquiring and constructing a 240,000 tons per year biodiesel plant, Unitec Bio S.A., in the province of Santa Fe. In 2010 he led the participation in the bidding process for the management and construction of two wind farms in Uruguay, which the group won, developed and finally sold in 2017.
In 2013, Mr. Eurnekian led the acquisition of CGC, serving as director and chairman since then. Under his management CGC bought Petrobras Argentina’s upstream business in the Austral basin and also acquired Sinopec Argentina’s assets in 2021, significantly increasing CGC’s natural gas production and reserves.
Juan Pablo Freijo
Mr. Freijo joined Corporación América’s energy business unit in 2010, and currently serves at CGC as New Business Development and Human Resources VP. He is also vice-president of the Board of Directors. He led the acquisition of CGC in 2013, the acquisition of Petrobras assets in the Austral Basin in 2015, and the acquisition of Sinopec Argentina’s assets in 2021. Previously, he worked at Columbus Merchant Banking as a Mergers and Acquisitions, Debt Restructuring and Financial Transaction Advisor.
He holds a degree in Industrial Engineering from ITBA, a Master degree in Finance from the Universidad Torcuato Di Tella, a Master degree in Oil&Gas from ITBA, and a Master of Science in Management from Stanford Graduate School of Business.
Daniel Kokogian
Mr. Kokogian has been a director from 2008 through 2012, and since December, 2013, renewing his appointment each year. He has also served as exploration geologist at YPF, as senior geologist and exploration and development manager at Occidental Petroleum Corporation, as vice-president of exploration, development and new businesses at Pioneer Natural Resources S.A., as general and country manager at Petroandina Resources Argentina S.A., and as chairman of the exploration and development committee of the Argentine Oil and Gas Institute.
He holds a degree in geological sciences from the Universidad de Buenos Aires.
Nestor Rubén Raffaeli
Mr. Raffaeli joined CGC in 2006 and served as our administration and finance director through February 2020. He is currently administration and finance director in Transportadora de Gas del Norte (“TGN”). He held several management positions at Compañía Naviera Pérez Companc S.A. (“PeCom”) and Petrobras Energía S.A., and served as administration and finance manager at Empresa Petrolera Andina S.A., the joint arrangement of PeCom, YPF and Pluspetrol in Bolivia; accountant manager at PeCom, in Buenos Aires; and strategic planning manager at PeCom and Petrobras Energía S.A. He holds a degree in public accounting from the Universidad Nacional de Córdoba.
Fernando Victor Peláez
Mr. Peláez joined CGC in 2015 and served as our operations manager through October 2017. He is currently a member of the Board of Directors. He has over 20 years of experience in senior management positions in energy and infrastructure arrangements. Prior to joining CGC, he was the chief executive officer of Aeropuertos Argentina 2000 S.A., Unitec Bio S.A., Puerta del Sur S.A. and Aeropuertos Neuquén S.A.
He holds a degree in civil engineering from the Universidad de Buenos Aires.
Dante Ruben Patritti
Mr. Patritti joined CGC in 2015 as advisor in the oil industry and is currently a member of the Board of Directors. He has over 40 years of experience in the industry, occupying decision-making positions such as General Director for the Americas at Repsol YPF, President of Andina Corp in Bolivia, President of Apex Petroleum Corp. in USA, member of the Board of YPF and General Manager of ASTRA Compañía de Petróleo, where he began his carrier in 1968.
Mr. Patritti holds a degree in Petroleum Engineering from the Cuyo University and a Master in Business & Acquisitions from MIT
Alain Petitjean
Mr Petitjean has more than 25 years of international experience in the Oil & Gas industry. He held numerous senior positions such as Financial Controller of Elf Enterprise in Scotland, Head of the Elf Group Consolidation and Reporting division in Paris, CFO of Total Austral in Buenos Aires, Executive Vice-President of Dolphin Energy in Abu Dhabi and finally Head of Total Group´s Southern Cone Gas & Power division as well as Group Representative for Argentina and Chile. He also served as CEO of Gasoducto GasAndes and was a board member of both TGN and TGM.
Mr Petitjean graduated from Rheims Business School in France and he also holds a British B.A (Hons) in European Business Administration.
Pablo Arnaude
Mr. Arnaude is CEO and Director of Sociedad Comercial del Plata. He currently serves as a member of the board of directors of CGC, Canteras Cerro Negro, DAPSA, Compañía Petrolera del Plata, Delta del Plata and Ferroexpreso Pampeano. Previously, he held several management positions at La Lacteo (Adecoagro), Petrobras and Perez Companc, and also led investment projects in the agro-industrial and real estate sectors. He holds a degree in Business Administration from the Universidad Católica Argentina and a Master in Executive Management from IAE, and has completed postgraduate studies at ESEADE.
Ignacio Noel
Mr. Noel has been a director since December, 2013. He currently serves as chairman of the boards of directors of Sociedad Comercial del Plata S.A., Parque de la Costa S.A., Metrotel S.A., Morixe Hermanos S.A., Sierras de Mazan S.A. and Alimentos Modernos S.A., and director at Buenos Aires Stock Exchange and Mozarteum Argentino. He has also served as chairman at Petroken Petroquímica Ensenada S.A. and a director at Indupa S.A.I.C., Noel & Cía. S.A. and Indelpro S.A. (Mexico).
He holds a degree in industrial engineering from the Universidad de Buenos Aires.
